These Terms of Service ("Terms") govern your use of the website apextechws.com and all services provided by APEX TECH WEB SERVICES INC. ("Company"), an Alberta Corporation (Registration #122838714), located at 1060 Watt Prom SW, Edmonton, Alberta T6X 1T7, Canada. By accessing our website or engaging our services, you agree to be bound by these Terms.
APEX TECH WEB SERVICES INC. provides digital marketing services (SEO, social media marketing, PPC advertising, content marketing), web development, and IT configuration and setup services. All services are provided as an independent contractor and not as an employee, partner, or agent of any client.
All services are governed by a written service agreement or proposal accepted by the client. Service scope, deliverables, timelines, and pricing are defined in the applicable agreement. Any changes to agreed scope must be documented in writing and may result in additional charges.
Payment terms are specified in each service agreement. Generally: invoices are due within 14 days of issuance; a deposit of 50% may be required before project commencement; recurring services are billed monthly in advance. Late payments may incur interest at 2% per month. We accept payment via Stripe, PayPal, bank transfer, and major credit cards.

Upon receipt of full payment, clients receive ownership of custom deliverables created specifically for them (websites, content, graphics). We retain ownership of pre-existing tools, templates, methodologies, and proprietary processes. We reserve the right to display completed work in our portfolio unless otherwise agreed in writing.
Clients agree to: provide accurate and complete information required for service delivery; respond to requests for approvals within agreed timeframes; ensure they have rights to any materials provided to us; comply with all applicable laws in their use of our services.
To the maximum extent permitted by law, APEX TECH WEB SERVICES INC. shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim in the preceding 3 months.
While we strive to deliver excellent results, we cannot guarantee specific outcomes such as search engine rankings, social media follower counts, or advertising performance. Digital marketing results depend on many factors outside our control. Services are provided "as is" without any express or implied guarantees of specific results.
Both parties agree to keep confidential any proprietary information shared during the course of the business relationship and not to disclose such information to third parties without prior written consent.
Either party may terminate a service agreement with 30 days written notice. Clients are responsible for payment of all services rendered up to the termination date. We reserve the right to terminate services immediately for non-payment or breach of these Terms.
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Edmonton, Alberta.
